Earnings & Results Disclaimer

This Earnings & Results Disclaimer ("Disclaimer") applies to https://shopscale.us (the "Site"), our marketing presentations, promotional webinars, application consultations, and all educational mentorship programs operated by Ascend Digital Ventures LLC ("Company", "Shopscale.us", "we", "us", or "our").

WE BELIEVE IN RADICAL TRANSPARENCY, INTEGRITY, AND COMPLETE DISCLOSURE. PLEASE READ THIS DISCLAIMER CAREFULLY BEFORE APPLYING FOR OUR COHORTS, SCHEDULING A STRATEGY CALL, OR PURCHASING ANY COACHING PACKAGE.

1. FTC Regulatory Compliance & Core Disclosure

In accordance with the Federal Trade Commission (FTC) Guides Concerning the Use of Endorsements and Testimonials in Advertising (16 CFR Part 255) and Business Opportunity Rule regulations:

• Shopscale.us is an online training program and creative store design team. We provide turnkey Shopify store setup, branding assets, custom domain configuration, and structured live group coaching.
• Shopscale.us is NOT a "business opportunity", franchise, or get-rich-quick scheme. We do not sell automated passive income, pre-packaged retail operations, or turnkey financial guarantees.
• We make NO promises, warranties, or guarantees that you will earn any money whatsoever, achieve a specific income, or recoup the fees paid for our programs or third-party services.

2. No Income, Revenue, or Profit Guarantees

• No Predictable Outcomes: E-commerce sales outcomes cannot be mathematically guaranteed. Statements regarding revenue, sales, conversion rates, or return on ad spend (ROAS) made across our Site, video case studies, or sales conversations reflect historical occurrences or hypothetical models, not guaranteed outcomes.
• Variable Financial Performance: Any examples of revenue or sales figures are not to be interpreted as average, expected, or typical earnings. The amount of money you earn—if any—depends exclusively upon factors beyond our knowledge or control.
• Risk of Capital Loss: Operating an e-commerce business involves financial risk. You must purchase domain names, maintain Shopify subscriptions, pay app fees, and potentially spend money on digital advertising (such as Facebook, Instagram, or NewsBreak ads). If your business fails to generate profitable sales, you may experience a net financial loss. Do not invest capital into this program, inventory, or digital ads that you cannot afford to lose.

3. Individual Execution & Market Realities

Your individual business results will vary significantly based upon a multitude of subjective and market-driven variables, including but not limited to:

• Personal Work Ethic & Commitment: Completing all curriculum modules, attending live coaching classes twice weekly, and executing assignments with discipline. Results depend entirely on individual effort.
• Niche & Product Selection: Market demand, competitive saturation, consumer purchasing power, and seasonal trends.
• Product Pricing & Profit Margins: Negotiating competitive wholesale supply terms, shipping times, and accurate margin architecture.
• Customer Service & Operational Diligence: Addressing customer inquiries, chargebacks, returns, and delivery logistics promptly.
• Ad Creative Quality & Platform Dynamics: Market responsiveness to your ad angles, ad account stability on Meta and NewsBreak, and algorithmic advertising auction fluctuations.
• General Economic Conditions: Macroeconomic factors, inflation, consumer sentiment, and international supply chain stability.

Students who fail to take action, do not attend coaching sessions, fail to test product inventory, or abandon their stores will earn zero revenue.

4. Contextualization of Student Testimonials & Case Studies

Our Site features specific student success stories and milestones. In compliance with FTC guidelines, we provide context for these examples:

• Marcus Vance (Austin, TX — Apex Cohort Graduate):
Quoted Statement: "Having Shopscale build the actual store eliminated months of technical paralysis. In week 14 during the NewsBreak ad module, we cracked $34k in a single month."
Material Disclosure: This milestone represents an exceptional, non-typical student result. Marcus Vance invested significant daily time, had previous sales background, and deployed substantial independent advertising capital into NewsBreak ads after rigorous split-testing. This result was achieved through dedicated execution and does not represent what an average student achieves.
• Elena Rostova (Miami, FL — Scale Cohort Graduate):
Quoted Statement: "The live coaching sessions twice a week kept me accountable. Whenever I hit a snag with my suppliers or Shopify apps, the coaches fixed it live on screen."
Material Disclosure: Elena attended every coaching session and actively iterated on coach feedback. Individual outcomes depend on how effectively a student applies live coaching reviews.
• David Chen (Toronto, ON — Launch Cohort Graduate):
Quoted Statement: "As someone working a 9-to-5, having the store, domain, and branding handed to me ready-to-run was a lifesaver. I made my first three sales within 10 days of launch."
Material Disclosure: Securing early sales within 10 days depends on product demand, promotional outreach, and pricing. Many stores do not generate sales in their first 10 days or require weeks of optimization before initial conversions occur.

Summary: Testimonials, reviews, and student showcases reflect the individual experiences of specific students. They are not independently audited and are not intended to represent or guarantee that current or future students will achieve the same or similar results.

5. Paid Advertising Risks (Meta & NewsBreak Modules)

Students enrolled in our Scale or Apex Flagship Elite tracks learn paid customer acquisition strategies, including Meta (Facebook/Instagram) and NewsBreak ad scaling, utilizing our Summit Ad Launch system.

• Paid Media Costs: Advertising spend is paid directly by the student to advertising platforms (Meta, NewsBreak, Google, TikTok). It is completely separate from Shopscale.us coaching fees.
• No Guarantee of Ad ROAS: There is no guarantee that ad campaigns will produce a positive Return on Ad Spend (ROAS). Ad campaigns may generate zero clicks, zero conversions, or result in losses.
• Ad Platform Policies: Third-party advertising networks enforce strict policies and algorithms. Platforms may reject ads or disable ad accounts without warning. Shopscale.us does not control third-party ad network policies.

6. No Certified Legal, Financial, or Tax Advice

• The information provided on our Site, during live coaching sessions, and within our curriculum materials is intended strictly for educational and informational purposes only.
• Ascend Digital Ventures LLC and our coaches are not licensed attorneys, Certified Public Accountants (CPAs), registered investment advisors, or chartered financial planners.
